This is the approved pre-incorporation drafting baseline currently supplied with GOATYD. It is not effective until published by the Platform Operator and still requires the operator details and counsel review stated in the document.

GLOBAL PLATFORM POSITION

GOATYD is designed as a globally available platform. Initial content may be seeded with Georgian entities as an editorial operations choice only; this does not create a Georgia-specific product, market, legal regime, or user class.

1. Acceptance and Contract Formation

By accessing or using GOATYD, creating an account, participating, or clicking an acceptance control, the user agrees to these Terms and incorporated policies. The contract is with GOATYD and the future legal entity designated as the Platform Operator. Where local law requires a parent or guardian to consent for a minor, the user represents that such consent has been obtained.

2. Eligibility

Minimum account age is 13.

A user must be legally capable of entering this agreement or use the service with legally required parental or guardian permission.

Features involving identity verification, payouts, financial value, wallet functionality, sponsored economic activity, or other regulated functionality may be limited to adults or restricted by location.

The Operator may deny or restrict access where required by law, sanctions, safety, product integrity, or operational risk.

3. Platform Nature and No Objective-Truth Promise

GOATYD provides community-derived, structured rankings, participation experiences, editorial context, and related features. Scores and ranks reflect platform methodology and available signals; they are not declarations of objective fact, professional judgments, endorsements, or guarantees. A ranking position does not imply moral worth, legal status, character, current performance, or universal consensus.

4. Accounts and Security

Users must provide accurate account information and protect credentials.

One person may not create or control accounts to manipulate participation, rewards, referrals, or integrity systems.

The Operator may require verification, challenge suspicious activity, log out sessions, reset credentials, limit functionality, or refuse service.

Users are responsible for activity under their account unless promptly reported as unauthorized.

5. Acceptable Use

No bots, scripts, automation, vote farms, coordinated manipulation, impersonation, fraud, evasion, scraping beyond authorized means, security testing without permission, or interference with service operation.

No unlawful, defamatory, threatening, exploitative, privacy-invasive, infringing, deceptive, hateful, or sexually explicit content.

No attempts to reverse engineer confidential ranking, integrity, fraud, or moderation systems except where a non-waivable law expressly permits it.

No sale, purchase, transfer, or exchange of accounts, Points, access, referral benefits, or platform influence unless expressly enabled by the Operator.

6. User Content and License

Users retain ownership they lawfully hold in submissions. By submitting content, the user grants the Operator a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, format, translate, display, distribute, promote, moderate, create technical derivatives from, and otherwise use the submission to operate, improve, secure, market, and provide GOATYD. The license survives removal only as reasonably necessary for backups, legal compliance, disputes, audit history, prior distributions, and platform integrity.

7. Rankings, Votes, Signals, and Methodology

The Operator may accept, reject, quarantine, discount, combine, normalize, correct, recalculate, restore, or invalidate signals.

The Operator may change methodology, eligibility, categories, lenses, confidence gates, publication cadence, and ranking presentation.

Published historical outputs may be preserved with version markers; corrected or recalculated outputs may differ.

Users have no ownership right in a vote, rank, score, methodology output, leaderboard position, or platform classification.

8. Points, XP, Rewards, and Referrals

Points are revocable, non-transferable, non-purchasable at launch, have no cash value, and are not property, deposits, securities, or stored value.

XP, levels, badges, streaks, achievements, referrals, promotions, and eligibility may be changed, limited, paused, corrected, or discontinued.

Pending rewards are not earned until settled. The Operator may hold, reverse, expire promotional rewards, or correct balances through auditable entries.

No statement creates a promise of token conversion, airdrop, payout, future utility, appreciation, or financial value.

9. Platform Control and Operational Discretion

To the maximum extent permitted by law, the Operator may add, remove, modify, suspend, test, restrict, geo- limit, discontinue, or relaunch any feature, content, ranking, account, campaign, reward, data source, integration, or service without creating liability for loss of expectations, access, visibility, status, or opportunity. The Operator is not required to disclose confidential detection methods or internal thresholds.

10. Third Parties

GOATYD may rely on third-party authentication, hosting, analytics, communications, data, AI, payment, identity, or content services. The Operator does not control third-party availability, conduct, terms, security, or content and is not responsible for them except as required by non-waivable law.

11. Intellectual Property

GOATYD branding, software, interfaces, databases, compilations, methodology, designs, generated assets, and documentation are owned by or licensed to the Operator. No license is granted except the limited, revocable right to use the service in compliance with these Terms.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ACCURACY, COMPLETENESS, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, AVAILABILITY, ERROR-FREE OPERATION, OR ANY PARTICULAR RESULT. THE OPERATOR DOES NOT GUARANTEE THAT CONTENT, SCORES, RANKS, SOURCES, TRANSLATIONS, AI OUTPUTS, NOTIFICATIONS, OR THIRD-PARTY DATA ARE CORRECT OR CURRENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS AFFILIATES, PERSONNEL, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, REPUTATIONAL, DATA-LOSS, BUSINESS-INTERRUPTION, LOST- PROFIT, OR LOST-OPPORTUNITY DAMAGES. THE AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNT THE USER PAID DIRECTLY TO THE OPERATOR IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NON-WAIVABLE RIGHTS REMAIN UNAFFECTED.

14. Indemnity

To the extent permitted by law, the user will defend, indemnify, and hold harmless the Operator from third- party claims, losses, liabilities, and reasonable costs arising from the user’s content, unlawful conduct, infringement, fraud, manipulation, misuse, or breach of these Terms. This obligation does not apply where prohibited or to the extent caused by the Operator’s own legally established misconduct.

15. Suspension and Termination

The Operator may warn, limit, quarantine, remove content, reverse rewards, suspend, terminate, preserve evidence, or refer conduct to authorities where reasonably believed necessary for law, safety, security, integrity, enforcement, risk management, or protection of users or the platform. Immediate action may occur without prior notice. Appeals may be offered but do not suspend enforcement unless the Operator decides otherwise.

16. Changes

The Operator may revise these Terms. Material changes will be communicated using reasonable notice appropriate to the change. Continued use after the effective date constitutes acceptance where legally permitted; renewed affirmative acceptance may be required for material contractual changes.

17. Disputes and Governing Terms

No arbitration clause is activated by this draft.

18. General

These Terms and incorporated policies are the entire agreement regarding the service.

Failure to enforce a provision is not a waiver.

Invalid provisions are modified or severed to preserve maximum lawful effect.

The Operator may assign this agreement in connection with restructuring, financing, acquisition, asset transfer, or succession. Users may not assign without consent.

Provisions that by nature should survive termination survive, including licenses, disclaimers, liability limits, indemnity, dispute, audit, and enforcement provisions.

English is the controlling drafting language to the extent permitted by law; localized versions are for accessibility and may be adapted where local law requires.
